1. Acceptance of Terms
Welcome to Syntaxo. These Terms of Service ("Terms") govern your access to and use of our website, digital platforms, and software engineering services. By accessing our services, submitting information through our Project Planner, or signing a statement of work, you acknowledge that you have read, understood, and agree to be bound by these Terms.
2. Services Provided
Syntaxo provides custom software engineering services, including:
- Custom Web Platforms: Front-end interfaces, administrative dashboards, and internal business tools.
- Mobile Applications: iOS, Android, and cross-platform mobile architectures.
- AI & Automation: Workflow optimization and integration of intelligent agents/LLMs.
- Cloud Architecture & DevOps: Infrastructure setup, migration, and automation pipelines.
- APIs & Integrations: Design and engineering of REST/GraphQL APIs and backend systems.
All development is performed on a project basis under a separate Statement of Work (SOW) that describes the specific scope, deliverables, and timelines.
3. Client Responsibilities
To guarantee successful project delivery, the client agrees to:
- Provide accurate specifications, branding assets, API keys, and test data in a timely manner.
- Participate in scheduled reviews and sign-offs for project milestones.
- Designate a primary contact authorized to make decisions on behalf of the client.
Syntaxo is not liable for project delays caused by a client's failure to provide resources or decisions within agreed-upon timelines.
4. Payments & Billing
Payments are structured as set forth in the project SOW. Typically, projects require an upfront deposit (e.g., 50% for standard web integrations, or milestone-based payments for larger platforms).
Invoices must be paid within 14 calendar days of receipt. Late payments may result in suspension of engineering services and delays in launch timelines.
5. Project Timelines
We make every effort to deliver your software within the targeted timeframe. However, timelines are estimations based on current specifications. Spontaneous scope adjustments or delays in client approvals will impact delivery schedules.
6. Intellectual Property
Upon complete payment of all invoices associated with a project, Syntaxo transfers all intellectual property rights, source code, and design assets for the custom software to the client.
Syntaxo retains ownership of pre-existing development modules, boilerplate configurations, open-source libraries, and generic design components reused during development.
7. Confidentiality
Both parties agree to treat all business plans, project specifications, proprietary codes, and financial details as strictly confidential. We will not disclose your sensitive project blueprints to third parties without prior written consent.
8. Warranties & Disclaimers
Syntaxo warrants that all code will meet the core specifications defined in the SOW upon launch. We offer a 30-day warranty window post-launch to patch technical bugs or deployment flaws.
Except as explicitly stated, our services are provided "as is" and we disclaim all implied warranties of merchantability, fitness for a particular purpose, and system availability.
9. Limitation of Liability
To the maximum extent permitted by law, Syntaxo is not liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities, arising from code bugs, server downtime, or third-party integrations.
Our total cumulative liability under any SOW or relationship is strictly capped at the total amount paid by the client to Syntaxo under the active contract.
10. Termination
Either party may terminate a development engagement by providing 30 days written notice. Upon termination, the client will pay Syntaxo for all work performed and milestones reached up to the termination date.
11. Governing Law
These Terms and all legal agreements between parties are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
